Welcome to aftergrid.! These Terms of Service ("Terms") govern your access to and use of the aftergrid. property management software, website, and services (collectively, the "Service"). Please read these Terms carefully before using our Service.

Subscription and Payment

We use third-party payment processors to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms.

We reserve the right to change, modify, or update our pricing at any time. Any changes to the pricing will be communicated to you in advance. By continuing to use the Service after a price change, you acknowledge and agree to the new pricing.

If your payment fails or your account is overdue, we may suspend your access to the Service until your payment has been successfully processed.

Free Trial

We may, at our sole discretion, offer a trial subscription for a limited period without payment. The length and terms of the trial will be specified at the time you sign up for the trial.

At any time and without notice, we reserve the right to (i) modify the terms and conditions of the trial offer, or (ii) cancel such trial offer.

You will be automatically billed for the applicable subscription at the end of the trial period unless you cancel your subscription before the end of the trial period.

Intellectual Property

The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of aftermind. and its licensors. The Service is protected by copyright, trademark, and other laws of both the European Union and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of aftergrid.

You retain ownership of any intellectual property rights that you hold in the Content you upload, submit, or display on or through the Service. By uploading, submitting, or displaying Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, modify, publish, and distribute such Content solely for the purpose of providing and improving the Service.

User Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation
• To impersonate or attempt to impersonate aftergrid., an aftergrid. employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm aftergrid. or users of the Service or expose them to liability

Additionally, you agree not to:

• Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Service
• Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service
• Use any manual process to monitor or copy any of the material on the Service or for any other unauthorized purpose
• Use any device, software, or routine that interferes with the proper working of the Service
• Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service
• Attack the Service via a denial-of-service attack or a distributed denial-of-service attack
• Otherwise attempt to interfere with the proper working of the Service

Content Guidelines

You are solely responsible for the Content that you upload, publish, display, or otherwise make available on the Service. You represent and warrant that:

• You either are the sole and exclusive owner of all Content that you make available through the Service or you have all rights, licenses, consents, and releases necessary to grant us the rights in such Content as contemplated under these Terms
• The Content does not and will not infringe, misappropriate, or violate a third party's intellectual property rights, or rights of publicity or privacy
• The Content does not and will not violate any applicable law or regulation

We reserve the right to review, remove, or modify any Content that, in our sole opinion, violates these Terms or may harm the reputation of the Service or aftergrid.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall aftergrid., its affiliates, or its licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses, that result from the use of, or inability to use, the Service.

To the maximum extent permitted by applicable law, Foteini assumes no liability or responsibility for any:

• Errors, mistakes, or inaccuracies of Content
• Personal injury or property damage, of any nature whatsoever, resulting from your access to and use of our Service
• Any unauthorized access to or use of our secure servers and/or any and all personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party
• Any errors or omissions in any Content or for any loss or damage incurred as a result of the use of any Content posted, transmitted, or otherwise made available through the Service

In no event shall our total liability to you for all damages, losses, or causes of action exceed the amount you have paid us in the last six (6) months, or, if greater, one hundred euros (€100).

The limitations of liability set out above are fundamental elements of the basis of the bargain between Foteini and you.

Warranty Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

aftergrid., its subsidiaries, affiliates, and its licensors do not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The Service is free of viruses or other harmful components
• The results of using the Service will meet your requirements

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Indemnification

You agree to defend, indemnify, and hold harmless aftergrid., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Cyprus, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Dispute Resolution

Any disputes arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Cyprus, using the English language in accordance with the Arbitration Rules and Procedures of [Arbitration Body] then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.

The prevailing party in any arbitration or legal action arising out of these Terms shall be entitled to costs and attorneys' fees.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

Entire Agreement

These Terms constitute the entire agreement between you and aftergrid. regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
